Join JPMA Associate Member, Smith Gambrell & Russell on Wednesday, November 6, 2024 at 2:00 pm ET as they briefly discuss The Corporate Transparency Act (“CTA”). The CTA is a federal law effective since January 1, 2024, that requires so-called “Reporting Companies” to report information about who ultimately owns or controls them (“Beneficial Owner”). Key topics covered in this webinar include:

    • Defining Key Terms: Understanding what constitutes a "Reporting Company" and identifying "Beneficial Owners" subject to reporting.
    • Filing Deadlines: An overview of when companies must file reports, based on registration timelines.
    • Exemptions: A breakdown of the most relevant exemptions under the CTA, such as large operating companies and tax-exempt entities.
    • Filing Process: A brief guide on how and what to file, including required information for Beneficial Ownership reports.

Presenter Bios:

    Erin McCallum, Partner – Atlanta. Erin represents domestic and international clients in a variety of corporate and transactional matters, with specialties in emerging company issues, venture capital transactions and mergers and acquisitions. Her practice focuses on serving as legal counsel to clients at all stages of the business lifecycle, with routine representation of high-growth companies from inception through maturity. Her experience ranges from advising emerging companies on corporate governance, equity compensation and venture financings, to assisting established businesses on commercial growth initiatives in domestic and cross-border transactions, to representing buyers and sellers in strategic and private equity mergers, acquisitions and divestitures. 

     

    Christina Faltermeier, Associate – Atlanta | New York. Christina has experience within corporate law, focusing on mergers and acquisitions, international law, and antitrust law. She has experience reviewing commercial and IP agreements, drafting due diligence reports, writing legal briefs, writing and reviewing licensing agreements, terms of services, terms of use, and contract conditions. She also has a background with U.S., Australian, and German law. Before joining SGR, Christina worked for multiple renowned national and international law firms, having lived, and worked in Munich, Frankfurt, Berlin, Hamburg, and Sydney.
